1. Acceptance of Terms
By accessing or using the Codeniti website (codeniti.in) or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, please discontinue use immediately.
2. Services
Codeniti provides custom software development, AI automation, mobile application development, and related digital services. The specific scope, timelines, deliverables, and pricing for any engagement are governed by a separate Statement of Work or Service Agreement entered into between Codeniti and the client.
We reserve the right to refuse service to anyone at our discretion.
3. Intellectual Property
All content on this website — including text, graphics, logos, and code — is the property of Codeniti and is protected by applicable intellectual property laws.
For client projects, ownership of deliverables (source code, designs, documentation) is transferred to the client upon receipt of full payment, unless otherwise agreed in writing. Codeniti retains the right to display work in its portfolio unless the client requests confidentiality in writing.
4. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives the termination of any service agreement.
5. Payment Terms
Payment terms are defined in individual project agreements. Unless otherwise stated, invoices are due within 14 days of issuance. Late payments may attract interest at a rate specified in the project agreement.
Codeniti reserves the right to suspend work on a project if invoices remain unpaid beyond the agreed payment schedule.
6. Limitation of Liability
To the fullest extent permitted by law, Codeniti shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.
Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you to Codeniti in the three months preceding the claim.
7. Warranties and Disclaimers
Our website and any information on it are provided "as is" without warranties of any kind, express or implied. We do not warrant that the site will be error-free or uninterrupted.
We make reasonable efforts to ensure the accuracy of information on this site but do not guarantee its completeness or currency.
8. Third-Party Links
Our website may contain links to third-party websites. These are provided for convenience only. Codeniti has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.
9. Termination
Either party may terminate a service engagement with written notice as specified in the applicable project agreement. Upon termination, the client is responsible for fees for all work completed up to the termination date.
10. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana.
11. Changes to These Terms
We reserve the right to update these Terms & Conditions at any time. Changes will be posted on this page with a revised effective date. Continued use of our website or services after changes are posted constitutes your acceptance of the updated terms.
